7.2 Upon full payment, you will receive a licence to use the deliverables for their intended purpose as outlined in your agreement. This licence is non-exclusive, non-transferable, and limited to the scope of your project agreement.

7.3 You must not modify, reproduce, or distribute the intellectual property of Leithal & Co. Pty Ltd without prior written consent.

User Conduct

8.1 You agree to use the Website only for lawful purposes. Prohibited activities include:

Attempting to gain unauthorised access to the Website or its systems.

Distributing malware, viruses, or other harmful code.

Engaging in any activity that may disrupt or interfere with the Website’s operation.

10.2 If liability cannot be excluded, Leithal & Co. Pty Ltd’s liability is limited to the resupply of Services or the cost of resupplying Services.

Termination

11.1 Leithal & Co. Pty Ltd reserves the right to terminate your access to the Website or cancel any Service agreement if you breach these Terms or engage in misconduct.

11.2 Upon termination, any outstanding payments become immediately due, and your licence to use any deliverables will cease unless otherwise agreed.

12.1 Any disputes arising out of or in connection with these Terms or the Services will be resolved through good-faith negotiation. If the dispute cannot be resolved, the parties agree to submit to mediation before pursuing further legal action.

4.2 All prices for Services are displayed in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated. Additional costs, such as third-party tools, stock images, fonts, or domain registrations, will be outlined during the project scoping phase and billed accordingly.

4.3 Leithal & Co. Pty Ltd reserves the right to change pricing or Service offerings at any time. Where you have already engaged Services, pricing changes will not affect your current agreement unless expressly agreed upon.

Payment Terms

5.1 Payment for Services must be made according to the terms outlined in your project agreement or invoice. Accepted payment methods include direct bank transfer, credit card, or other methods specified on the invoice.

5.2 A deposit is required to confirm your project booking. Deposits are non-refundable unless otherwise agreed in writing. The remaining balance must be paid according to the agreed timeline.

5.3 Failure to make payments on time may result in project delays or suspension of Services. Late payments may incur additional fees, as outlined in your agreement.

Cancellations and Refunds

6.1 If you wish to cancel your project, you must provide written notice. Refunds for Services will be assessed on a case-by-case basis, taking into account the work completed and resources allocated up to the cancellation date.

6.2 Refunds for digital design assets, completed branding projects, or website designs are not available once the final deliverables have been approved and provided.

6.3 In accordance with Australian Consumer Law, you are entitled to a refund or replacement if the Services fail to meet the applicable guarantees under the law. This includes remedies for major faults or substandard performance.
